SEC Whistleblower Rules Not Expected to Require Internal Compliance Reporting

Look for the Securities and Exchange Commission to issue final whistleblower rules this spring. While the agency is still grappling with what role internal corporate compliance will play, do not expect the SEC to require whistleblowers to report wrongdoing to internal compliance departments before filing claims with the SEC under Dodd-Frank.
The agency expects to be inundated with complaints. Whistleblowers should plan to document their allegations and clearly explain their claims.
